Welcome to Friendy operated by ADB Infotainment. The App connects users/Users with individuals for companionship services, including phone calls, hangouts, coffee, shopping, movies, meals, comedy clubs, and other activities (collectively, “Services”). By accessing or using the App, you agree to comply with these Terms of Service (“Terms”). If you disagree, do not use the App.

1. Definitions

• User: Anyone booking a Friend via the App.
• Friend: Individuals offering companionship Services via the App.
• Services: Activities facilitated through the App.
• Content: Text, images, or data uploaded to the App.

2. Eligibility

• Users must be at least 18 years old.
• Friends must be 18+ and legally eligible to work in their jurisdiction.
• By using the App, you confirm compliance with all laws.

3. Account Registration

• Provide accurate information during sign-up.
• Safeguard your account; notify us of unauthorized use.
• Accounts are non-transferable.

4. Services Description

• Friendy acts as a platform to connect Users and Friends. Friends are independent contractors, not employees.
• Users and Friends are solely responsible for interactions. Friendy does not guarantee the quality, safety, or legality of Services.
• Prohibited Uses: Services must not involve illegal activities, romantic/sexual interactions, or harassment.

5. Payments

• Fees: Friendy charges for usage only. Friendy uses a secure third-party payment processor (like G-Pay, PhonePe, Cards, etc.) to handle all financial transactions. If you are offering your time as a rented friend, you set your hourly or event rate when creating your profile. Once someone rents you, you’ll discuss the rented amount and process of payment/payment mode and payment timing. We don’t interfere in this process. We don’t share from your rented payment. If you don’t receive your rented amount, you can report that particular user. We will blacklist them, but we don’t give any compensation. We recommend that you collect your rented amount first.
• Refunds: At Friendy’s discretion. We don’t share from your rented payment, so no refunds for completed/incomplete Services.
• Third-Party Processors: Payments processed by services like G-Pay, PhonePe, Cards, etc. Friendy is not liable for processing errors.

6. User Responsibilities

• Comply with all laws and respect Friends.
• Prohibited Conduct: Harassment, discrimination, illegal acts, or soliciting Services outside the App.
• Report safety concerns immediately.

7. Friend Responsibilities

• Provide Services as described in their profile.
• Maintain professionalism and safety.
• Comply with tax/legal obligations.

8. Intellectual Property

Friendy owns all App content, trademarks, and logos. Users may not copy, modify, or distribute without permission.

9. Disclaimers

• As-Is Basis: No warranties on Service quality or App functionality.
• Third-Party Links: Not endorsed by Friendy.
• No Background Checks: Friends are not vetted beyond profile verification. Use at your own risk.

10. Limitation of Liability

Friendy is not liable for:

• Damages from User/Friend interactions.
• Injuries, losses, or disputes during Services.
• Technical issues or App downtime.

11. Indemnification

Users agree to indemnify Friendy against claims arising from their misuse, breach of Terms, or illegal actions.

12. Termination

• Friendy may suspend/terminate accounts for violations without notice.
• Users may delete accounts via App settings.

13. Governing Law & Disputes

• Governed by laws of [State/Country], excluding conflicts principles.
• Dispute Resolution: Informal negotiation first, then binding arbitration. Class actions waived.

14. Modifications

Friendy may update these Terms. Continued use after changes implies acceptance.

15. Miscellaneous

• Severability: If a clause is invalid, the rest remain enforceable.
• Force Majeure: Not liable for events beyond our control.
• Entire Agreement: Supersedes prior agreements.
